MedLife® Terms of Use Agreement

Effective Date: August 2026

These Terms of Use and End User License Agreement (“Agreement”) govern your access to and use of the MedLife® platform, mobile applications, websites, software, services, and related technologies (collectively, the “Platform”).

This Agreement is entered into between you (“User,” “you,” or “your”) and MedLife® (“MedLife,” “Company,” “we,” “our,” or “us”).

By creating an account, accessing, downloading, or using the Platform, you agree to be legally bound by this Agreement.

  1. Purpose

MedLife is a connected digital health platform designed to improve care coordination, emergency preparedness, caregiver engagement, and access to healthcare and community resources.

The Platform is intended to facilitate communication and information sharing among authorized individuals, caregivers, healthcare providers, first responders, and participating organizations.

  1. License Grant

Subject to your compliance with this Agreement, MedLife grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.

No ownership rights are transferred.

  1. Ownership

The Platform, including all software, designs, databases, workflows, documentation, graphics, trademarks, service marks, algorithms, business methods, user interfaces, source code, object code, reports, content, and functionality remain the exclusive property of MedLife and its licensors.

Nothing in this Agreement transfers ownership of any intellectual property.

  1. Patent Rights

The Platform incorporates proprietary technologies that are protected by issued patents and pending patent applications.

No license is granted to copy, reproduce, commercialize, reverse engineer, or otherwise exploit any patented inventions except for the limited license expressly granted under this Agreement.

  1. Acceptable Use

You agree to:

  • Provide accurate information.
  • Maintain the confidentiality of your login credentials.
  • Use the Platform only for lawful purposes.
  • Comply with all applicable laws and regulations.
  • Respect the privacy rights of other users.

You agree not to:

  • Reverse engineer or decompile the Platform.
  • Copy or reproduce the Platform.
  • Create competing products using MedLife technology.
  • Circumvent security measures.
  • Introduce malicious software.
  • Access information you are not authorized to view.
  • Use automated tools to scrape or harvest Platform data.
  1. User Content

You retain ownership of information you upload.

You grant MedLife a limited license to store, process, transmit, and display your information solely for providing Platform services.

You represent that you have the legal authority to upload any information submitted.

  1. Authorized Sharing

You control which caregivers, providers, family members, or other authorized individuals may access your information, subject to Platform functionality and applicable law.

MedLife may facilitate authorized sharing but does not independently determine who should receive access.

  1. Emergency Information

The Platform may allow emergency responders to access selected emergency health information through approved methods, including QR codes or other secure technologies.

Users are responsible for maintaining accurate emergency information.

MedLife cannot guarantee that emergency personnel will access, review, or rely upon information available through the Platform during an emergency.

  1. Healthcare Disclaimer

The Platform is designed to support healthcare communication and coordination.

It is not a substitute for professional medical advice, diagnosis, or treatment.

Always seek advice from qualified healthcare professionals regarding medical conditions.

In the event of a medical emergency, call 911 or your local emergency services immediately.

  1. No Clinical Decision-Making

Unless expressly stated through a separate written agreement with a healthcare organization, MedLife does not practice medicine, provide nursing services, diagnose medical conditions, prescribe treatment, or make clinical decisions on behalf of healthcare professionals.

Healthcare providers remain solely responsible for all medical decisions.

  1. Community Resources

The Platform may connect users with transportation services, nutrition assistance, behavioral health resources, housing support, caregiver services, social services, and other community organizations.

MedLife does not guarantee availability, eligibility, quality, or outcomes of third-party services. 

  1. Third-Party Integrations

The Platform may integrate with electronic health records, pharmacies, wearable devices, medical devices, laboratories, health information exchanges, and other third-party systems.

MedLife is not responsible for:

  • Third-party system availability
  • Data accuracy supplied by third parties
  • Third-party software performance
  • Service interruptions outside MedLife’s control
  1. Artificial Intelligence and Decision Support

The Platform may utilize automated workflows, rules engines, predictive analytics, alerts, recommendations, or artificial intelligence to support users and participating organizations.

These tools are intended solely to assist users and should not replace professional judgment.

Users remain responsible for independently evaluating all information before acting upon it.

  1. Availability

Although MedLife strives for continuous availability, uninterrupted service cannot be guaranteed.

The Platform may occasionally be unavailable due to maintenance, updates, security events, or circumstances beyond our control.

  1. Privacy

Your use of the Platform is also governed by the MedLife Privacy Statement, which is incorporated into this Agreement by reference.

  1. Security Responsibilities

Users agree to:

  • Protect login credentials.
  • Use secure devices.
  • Promptly report suspected unauthorized access.
  • Log out from shared devices. 
  1. Intellectual Property Restrictions

Without written permission from MedLife, you may not:

  • Copy software
  • Modify software
  • Create derivative works
  • Rent or sublicense the Platform
  • Commercialize Platform technology
  • Remove copyright or trademark notices
  • Reverse engineer any proprietary technologies
  1. Feedback

Suggestions, enhancement requests, ideas, or recommendations submitted to MedLife may be used by MedLife without obligation or compensation.

  1. Suspension or Termination

MedLife may suspend or terminate accounts for:

  • Violation of this Agreement
  • Fraudulent activity
  • Security risks
  • Misuse of the Platform
  • Legal or regulatory requirements
  1. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, MedLife disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

  1. Limitation of Liability

To the fullest extent permitted by law, MedLife, its officers, directors, employees, affiliates, licensors, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill arising out of or related to use of the Platform.

To the extent permitted by law, MedLife’s total aggregate liability shall not exceed the greater of:

  • The amount paid by the user for use of the Platform during the twelve (12) months preceding the claim; or
  • One hundred U.S. dollars (US $100.00).

Some jurisdictions do not permit certain liability limitations; in those jurisdictions, liability shall be limited to the maximum extent permitted by law.

  1. Indemnification

You agree to defend, indemnify, and hold harmless MedLife and its affiliates from claims, damages, liabilities, losses, and expenses arising from your misuse of the Platform, violation of this Agreement, infringement of third-party rights, or unlawful conduct.

  1. Governing Law

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located in Broward County, Florida, unless otherwise required by applicable law.

  1. Changes to this Agreement

MedLife may revise this Agreement from time to time.

Material changes will become effective after reasonable notice as permitted by applicable law.

Continued use of the Platform constitutes acceptance of the revised Agreement.
